 BILL Pr 403 -- 2000

WESTMOUNT CAREER MANAGEMENT LTD.
(CORPORATE RESTORATION) ACT, 2000

WHEREAS Ruth Chiko, of the City of Surrey, in the Province of British Columbia, has by her petition represented:

(a) that the Company was incorporated in British Columbia on May 7, 1985 under Certificate of Incorporation No. 292147 issued pursuant to the British Columbia Company Act, R.S.B.C. 1979, c. 59, as amended;

(b) that the Company was struck off the Register of Companies for the Province of British Columbia on September 30, 1988 for failure to file annual reports;

(c) that a notice was published in the British Columbia Gazette on August 25, 1988 pursuant to the Company Act, stating that the Company would be struck from the Register of Companies and dissolved unless, within one month after the publication of the notice, cause was shown to the contrary;

(d) that a notice was published in the British Columbia Gazette, on October 13, 1988, stating that the Company was struck off the Register and dissolved on September 30, 1988;

(e) that, notwithstanding the said notice, the sole director of the Company having no knowledge of its publication in the British Columbia Gazette, continued to carry on the business of the Company as if it had not been dissolved;

(f) that it will not be possible to continue carrying on the business of the Company unless the Company is revived; and

(g) that, since the Company was a corporation to which the Company Act applied and since there is no provision in the said Act for the revival of a Company more than 10 years after it had been dissolved, the Company cannot be revived except by a special Act of the Legislature of British Columbia;

AND WHEREAS the said Ruth Chiko has by her petition requested that it be enacted as follows, and it is expedient to grant the request in the petition;

NOW, THEREFORE, HER MAJESTY, by and with the advice and consent of the Legislative Assembly of the Province of British Columbia, enacts as follows:

1  In this Act:

"Company" means Westmount Career Management Ltd.;

"Register" means the Register of Companies;

"Registrar" means the Registrar of Companies.

2  The Company is restored to the Register commencing on the date that a copy of this Act certified by the Law Clerk of the Legislative Assembly is filed with the Registrar.

3  On its restoration, the Company shall be deemed to have continued in existence as if its name had never been struck off the Register.

4  Nothing in sections 2 and 3 prejudices the rights of any person that were acquired before the date on which the Company is restored to the Register.
