* In addition to a fee marked by an asterisk, a further operator fee of $1.50, plus any G.S.T. applicable to the operator fee, may be charged for any transaction done by electronic means from a location outside a government office or at a government office by a person who is not a government employee.

Explanatory Note

This Bill repeals and replaces the Company Act, R.S.B.C. 1996, c. 62, and

removes the necessity of filing articles with the corporate registry and requires instead the filing of a notice of articles to provide basic corporate information,
facilitates electronic incorporations and other corporate filings with the registrar, and allows the registrar to store information in an electronic format,
facilitates amalgamations and allows amalgamations between British Columbia and foreign corporations,
allows for the provision by a company of financial assistance if that assistance is disclosed,
expressly allows subsidiaries to purchase shares in their parent corporations,
removes directors' residency requirements,
recognizes pre-incorporation contracts,
allows shareholders to require their company to circulate to other shareholders a proposal for consideration,
allows unlimited authorized share capital,
allows indemnification of directors without court approval,
allows special resolutions by a 2/3 vote,
allows amalgamations and restorations without court approval, and
allows shareholders to waive annual general meetings.
